1. About these terms
These terms of use ("Terms") apply to your use of the website at ihcanumenergy.com and any of its pages (the "Website"). The Website is operated by Ihcanum Energy Solutions Limited ("IES", "we", "us", "our"), a private limited company registered in Scotland with company number SC902884, whose registered office is at 4 Mackie Way, Elrick, AB32 6AL, Aberdeenshire, United Kingdom.
By using the Website, you agree to these Terms. If you do not agree, please do not use the Website. If you use the Website on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf.
Our Privacy Notice and Cookie Policy explain how we handle personal information and cookies. They are not part of these Terms.
2. Who the Website is for
The Website is intended for businesses and professionals, including technology manufacturers and developers, operators, contractors and other buyers in the energy and industrial sectors. It is not intended for consumers or children.
3. Using the Website
You may view, download for caching purposes only, and print pages from the Website for your own business use, subject to these Terms. You must not:
- use the Website in any way that breaks any law or regulation, or for any fraudulent or harmful purpose;
- try to gain unauthorised access to the Website, the server on which it is hosted, or any connected system;
- introduce viruses, malicious code or other harmful material, or attack the Website through a denial-of-service or similar attack;
- use automated tools to scrape, copy or extract content or contact details from the Website, except for normal search-engine indexing;
- use our forms to send spam, unsolicited advertising, or material that is unlawful, offensive or infringes anyone's rights; or
- frame the Website, or present its content as part of another website, without our written permission.
We may suspend, withdraw or change all or part of the Website without notice. We do not guarantee that the Website will always be available or free from interruption or errors.
4. Our services and how we contract
IES represents and distributes specialist energy and engineering technologies, and helps the manufacturers and developers that own them enter markets in Africa, the United Kingdom and Europe. We also help operators, contractors and other buyers find technologies that meet their operational needs. The Website describes these services and invites you to contact us about them.
The Website is provided for information and to invite enquiries. To make clear how and when a binding commitment arises:
- the content of the Website is not a binding offer, quotation, price or delivery commitment, and a contract is not formed by using the Website, by submitting a "Partner with IES" or "Request a solution" form, or by sending us an enquiry;
- using the Website or contacting us does not create any partnership, agency or exclusive relationship, and does not commit IES to represent, distribute or promote any particular technology, or to appoint or act for anyone as an agent, representative or distributor; and
- any representation, distribution, supply or other agreement with IES is only effective when it is set out in a written agreement signed by an authorised director of IES. Quotations and orders are subject to separate written terms, which we will provide at the time.
No one may enter into any agreement, accept any order or make any commitment on IES's behalf unless they hold IES's written authority to do so. If you are unsure whether someone is authorised to act for IES, please contact us using the details in section 13.
5. Information on the Website
The content of the Website is general information only. It is not technical, engineering, safety, legal, financial, tax or commercial advice, and you should not rely on it as such.
Technical information is for guidance only. Product descriptions, specifications, performance figures, case studies and other technical information on the Website are provided for general guidance. Much of it is supplied by the manufacturers concerned. Actual performance depends on site conditions, operating parameters, installation, maintenance and other factors. Before you specify, buy, install or use any product or technology, you must obtain the manufacturer's current documentation and confirm with qualified engineers that it is suitable, safe and compliant for your application, including any hazardous-area, pressure, environmental and local regulatory requirements.
Although we try to keep the Website accurate and up to date, we make no promise, express or implied, that its content is complete, accurate, current or suitable for any purpose. Information may change without notice. Case studies and examples describe particular situations and do not guarantee similar results.
Our market information about countries and regions (for example on our Markets pages) is general background, reflects our view at the time of writing, and is not a substitute for your own due diligence or professional advice on local law, regulation, local-content rules, tax or customs.
6. Third-party technologies, trade marks and content
The Website may describe technologies, products and services that belong to other companies, including technology providers and OEMs (original equipment manufacturers) we represent ("technology providers").
- All trade marks, product names, logos, images, data sheets and technical information relating to a technology provider's products belong to that technology provider or its licensors. They are used on the Website with permission or for identification only. No licence to use them is granted to you.
- Product warranties, specifications, certifications and approvals are given by the manufacturer, not by IES, unless IES agrees otherwise in writing.
- A reference to a company, technology or customer does not mean that IES has a current agreement with it, or that it endorses IES, unless the Website says so expressly. Where we describe a technology as one we represent, the scope of our representation (including any territory or exclusivity) is set by our agreement with the technology provider and may be limited.
- Datasheets, brochures and other documents that we make available for download are provided with the technology provider's approval for information only. They remain the property of the technology provider and may be superseded. Always check with us or the technology provider that you have the current version.
7. Intellectual property
The Website, its design and its content (including text, graphics, photographs, logos, layout and the "IES" and "Ihcanum Energy Solutions" names and logos) are owned by or licensed to IES and are protected by copyright, trade mark and other intellectual property laws. All rights are reserved.
You may print or download extracts for your own internal business use, or share a link to a page with colleagues or business contacts, provided that you do not change the content, you keep any copyright and trade mark notices, and you acknowledge IES (and, where relevant, the technology provider) as the source. You must not use any part of the Website for commercial purposes, or use our logos or names, without our prior written permission.
8. Your submissions
When you send us information through our forms or by email, you confirm that it is accurate, that you are entitled to share it, and that sharing it does not breach any confidentiality obligation or anyone else's rights.
Please do not send us confidential, commercially sensitive or export-controlled technical information through the Website or by unsolicited email. Unless we have agreed otherwise in writing (for example in a confidentiality agreement), we are not obliged to treat unsolicited submissions as confidential, although we will handle personal information in line with our Privacy Notice.
9. Links to and from other websites
The Website may link to other websites, such as LinkedIn or technology providers' websites. Those links are provided for your convenience only. We have no control over those websites, are not responsible for their content, availability or privacy practices, and do not endorse them. Your use of them is at your own risk and subject to their own terms.
You may link to the Website's home page or another relevant page, provided you do so fairly and lawfully, and you do not suggest any association with, approval of or endorsement by IES that does not exist. You must not frame the Website on another site. We may withdraw this permission at any time.
10. Our liability to you
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under the law of Scotland or any other applicable law.
Subject to that, and to the extent permitted by law:
- the Website and its content are provided free of charge and "as is", and we exclude all conditions, warranties, representations and other terms that might otherwise apply to the Website or its content, whether express or implied;
- we will not be liable to you, whether in contract, delict (including negligence), breach of statutory duty or otherwise, for any loss or damage arising from your use of, inability to use, or reliance on the Website or its content, or on any linked website; and
- in particular, we will not be liable for any loss of profits, revenue, sales, business, contracts, anticipated savings, goodwill or data, for business interruption, or for any indirect or consequential loss.
We are not responsible for any loss or damage caused by a virus or other harmful material that may infect your equipment, data or software through your use of the Website or any linked website. You should use your own virus protection.
Where you enter into a separate written agreement with IES, that agreement (and not these Terms) will govern our liability in relation to its subject matter.
11. Changes to these Terms
We may update these Terms from time to time by publishing a new version on this page. Please check this page whenever you use the Website. The version in force when you use the Website applies.
12. General
If any part of these Terms is found to be invalid or unenforceable, the rest will continue in effect. If we do not enforce any right under these Terms straight away, we may still enforce it later. These Terms are in English, and the English version prevails over any translation.
Governing law and jurisdiction. These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or the Website, are governed by the law of Scotland. The courts of Scotland have exclusive jurisdiction to settle any such dispute or claim, except that IES may bring proceedings in any other court of competent jurisdiction to protect its intellectual property or confidential information.
